Terms of Service

These Terms of Service ("Terms") govern your access to and use of Octo Pilot's website, software, applications, and social media management services available through OctoPilot.Studio (collectively, the "Service").

The Service is operated by Octo Pilot ("Octo Pilot," "we," "us," or "our").

By creating an account, accessing the Service, connecting a social media account, purchasing a subscription, or otherwise using Octo Pilot, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. Description of the Service

Octo Pilot provides tools designed to help individuals, businesses, creators, organizations, agencies, and other authorized users manage social media activities.

Features may include:

  • Connecting social media accounts

  • Creating social media posts

  • Uploading images and videos

  • Scheduling posts

  • Publishing content

  • Managing multiple social media accounts

  • Viewing account or content information

  • Reviewing social media analytics

  • Managing comments, interactions, or messages where supported

  • Collaborating with team members

  • Other social media management tools

Available features may vary by subscription plan, social network, geographic region, API availability, and changes made by third-party platforms.

2. Eligibility

You must be legally capable of entering into a binding agreement to use Octo Pilot.

If you use Octo Pilot on behalf of a company, organization, client, or other entity, you represent that you have authority to bind that entity to these Terms and authority to manage any social media accounts you connect to Octo Pilot.

You may not connect, manage, or publish to an account that you are not authorized to access.

3. User Accounts

Certain features require an Octo Pilot account.

You agree to:

  • Provide accurate account information

  • Maintain the security of your login credentials

  • Keep your contact information current

  • Prevent unauthorized access to your account

  • Notify Octo Pilot of suspected unauthorized activity

You are responsible for activity conducted through your account unless prohibited by applicable law.

You may not share account credentials in a manner that compromises account security or circumvents applicable account or subscription limitations.

4. Connected Social Media Accounts

Octo Pilot allows you to authorize connections with third-party services such as Facebook, Instagram, TikTok, YouTube, Google, X, and other supported platforms.

By connecting an account, you represent that:

  1. You own the account or are authorized to manage it.

  2. You are authorized to grant Octo Pilot the requested permissions.

  3. Your use of the account through Octo Pilot complies with the applicable platform's terms and policies.

  4. Content you publish through the account complies with applicable law.

Connecting an account authorizes Octo Pilot to perform actions requested through the Service within the permissions provided by the applicable third-party platform.

5. Third-Party Platform Terms

Your use of social media platforms through Octo Pilot remains subject to the terms, policies, community standards, developer requirements, copyright policies, advertising rules, and other requirements imposed by the applicable platform.

Octo Pilot does not control these platforms.

Third-party platforms may:

  • Change their APIs

  • Change available permissions

  • Modify publishing requirements

  • Restrict particular content

  • Change rate limits

  • Require renewed authorization

  • Suspend accounts

  • Remove content

  • Restrict Octo Pilot's API access

  • Discontinue features

Octo Pilot is not responsible for actions taken by a third-party social media platform.

6. Social Media Publishing

Octo Pilot provides technology that sends publishing instructions to third-party services.

We do not guarantee that every scheduled post will publish successfully.

Publication may fail or be delayed because of circumstances including:

  • Third-party API outages

  • Expired authorization tokens

  • Revoked permissions

  • Changes to platform APIs

  • Platform rate limits

  • Account restrictions

  • Internet or server outages

  • Media-format restrictions

  • Content rejected by a platform

  • Incorrect user configurations

Users are responsible for monitoring important scheduled posts and verifying that content has successfully published.

Octo Pilot will make reasonable efforts to maintain reliable operation but does not guarantee uninterrupted publication.

7. User Content

You retain ownership of the content you create, upload, submit, schedule, or publish through Octo Pilot.

You grant Octo Pilot a limited, non-exclusive license to host, store, process, reproduce, transmit, modify solely as technically necessary, and send User Content to third-party platforms for the purpose of operating the Service.

This license exists only to the extent reasonably necessary to provide Octo Pilot functionality.

You represent that you possess all rights, permissions, licenses, releases, and authorizations necessary for any User Content you provide through Octo Pilot.

8. Copyright and Intellectual Property

You may not use Octo Pilot to publish content that unlawfully infringes:

  • Copyright

  • Trademark rights

  • Publicity rights

  • Privacy rights

  • Music licensing rights

  • Other intellectual property rights

You are responsible for obtaining appropriate licenses or permissions for music, photographs, videos, graphics, trademarks, and other materials contained in your posts.

Octo Pilot does not grant you rights to use content simply because a social media platform technically permits that content to be uploaded.

9. Prohibited Uses

You may not use Octo Pilot to:

  • Violate applicable law

  • Publish unlawful content

  • Infringe intellectual property rights

  • Harass, threaten, defame, or impersonate others unlawfully

  • Distribute malware or malicious code

  • Attempt unauthorized access to another person's account

  • Circumvent platform security or access controls

  • Abuse third-party APIs

  • Generate or distribute prohibited spam

  • Engage in deceptive engagement manipulation

  • Purchase, sell, or artificially manipulate social engagement through prohibited methods

  • Scrape or harvest information in violation of applicable terms

  • Interfere with Octo Pilot's infrastructure

  • Reverse engineer the Service except where expressly permitted by law

  • Circumvent subscription limits

  • Use Octo Pilot in a way that could cause Octo Pilot to violate a social platform's developer policies

We may restrict or suspend accounts that violate these requirements.

10. Agencies and Client Accounts

If you use Octo Pilot to manage social media accounts belonging to clients, customers, employers, or other third parties, you are responsible for obtaining appropriate authorization from those account owners.

You are responsible for actions taken by users whom you authorize to access your Octo Pilot account or workspace.

Octo Pilot is not responsible for disputes between agencies, employees, contractors, clients, or other parties regarding authorization to manage a social media account.

11. Subscriptions and Fees

Certain Octo Pilot features may require a paid subscription.

Prices, billing intervals, features, usage limits, and other subscription information will be disclosed when you purchase a plan.

By purchasing a subscription, you authorize Octo Pilot and its payment processors to charge the applicable fees and taxes associated with your selected plan.

Unless otherwise stated during purchase, recurring subscriptions may renew automatically until canceled.

Users are responsible for canceling subscriptions before the applicable renewal date if they do not wish to renew.

12. Changes to Plans and Pricing

We may modify subscription plans, features, usage limits, or pricing.

Where reasonably required, existing subscribers will receive notice before material pricing changes affect their next applicable billing period.

13. Refunds

Except where required by law or expressly stated in a specific offer, subscription payments are generally non-refundable once the applicable billing period has begun.

We may issue refunds or credits at our discretion where appropriate.

14. Service Availability

We attempt to maintain reliable access to Octo Pilot but cannot guarantee continuous or error-free operation.

The Service may occasionally be unavailable because of:

  • Maintenance

  • Updates

  • Security incidents

  • Hosting failures

  • Third-party outages

  • API changes

  • Events outside our reasonable control

We may modify, discontinue, replace, or add Service features at any time.

15. Beta and Experimental Features

Octo Pilot may make beta, preview, experimental, or early-access functionality available.

Such features may contain errors, change without notice, or be discontinued.

Beta functionality is provided without a guarantee of continued availability.

16. Account Suspension

We may temporarily restrict or suspend access where reasonably necessary to:

  • Protect the security of the Service

  • Investigate suspected fraud

  • Prevent unauthorized access

  • Address violations of these Terms

  • Comply with legal requirements

  • Comply with third-party platform requirements

  • Prevent harm to Octo Pilot, users, or third parties

Where appropriate, we may provide users with an opportunity to resolve the issue.

17. Account Termination

You may stop using Octo Pilot at any time.

You may request deletion of your account according to the instructions provided on our Delete Data page.

Octo Pilot may terminate or restrict an account for material violations of these Terms, unlawful activity, security threats, abuse of the Service, nonpayment, or circumstances requiring termination under applicable third-party platform requirements.

18. Effect of Termination

When an Octo Pilot account is terminated:

  • Access to the Service may end

  • Scheduled posts may stop publishing

  • Connected social media authorizations may be revoked or become inaccessible

  • Stored User Content may be deleted according to our retention practices

  • Certain information may be retained where required for legitimate security, accounting, legal, or regulatory purposes

Users are responsible for exporting or preserving any information they wish to retain before terminating their account where export functionality is available.

19. Privacy

Your use of Octo Pilot is also governed by our Privacy Policy.

The Privacy Policy describes how Octo Pilot collects, processes, stores, shares, and deletes information associated with the Service.

20. Octo Pilot Intellectual Property

Except for User Content and third-party materials, Octo Pilot and its associated software, website, branding, graphics, interfaces, designs, documentation, trademarks, and technology are owned by or licensed to Octo Pilot.

These Terms do not transfer ownership of Octo Pilot's intellectual property to you.

You may not copy, reproduce, sell, redistribute, or commercially exploit Octo Pilot's proprietary technology except as expressly authorized by us or permitted by law.

21. Third-Party Services

Octo Pilot is an independent service.

Unless expressly stated otherwise, Octo Pilot is not owned by, operated by, endorsed by, sponsored by, or affiliated with Meta, Facebook, Instagram, Google, YouTube, TikTok, X, or other third-party social media platforms.

All third-party trademarks belong to their respective owners.

22. Disclaimer of Warranties

To the fullest extent permitted by law, Octo Pilot is provided on an "as is" and "as available" basis.

We do not warrant that:

  • The Service will always be available

  • The Service will be error-free

  • Every scheduled post will publish successfully

  • Every social media integration will remain available

  • Third-party platforms will maintain existing APIs or permissions

  • Use of Octo Pilot will increase followers, engagement, sales, revenue, or other business results

Nothing in these Terms excludes warranties that cannot legally be excluded.

23. Limitation of Liability

To the fullest extent permitted by applicable law, Octo Pilot and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use the Service.

This includes, where legally permitted, losses relating to:

  • Lost profits

  • Lost business

  • Lost opportunities

  • Lost followers or engagement

  • Unpublished or delayed posts

  • Lost data

  • Account suspension by a social media platform

  • Third-party platform outages

  • Unauthorized use resulting from a user's failure to secure account credentials

To the fullest extent permitted by law, Octo Pilot's aggregate liability arising from the Service will not exceed the amount the user paid to Octo Pilot during the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability, so some portions of this section may not apply to you.

24. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Octo Pilot and its owners, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from:

  • Your User Content

  • Your violation of these Terms

  • Your violation of applicable law

  • Your infringement of third-party rights

  • Your unauthorized management of a third-party social media account

  • Your violation of a social media platform's applicable terms or policies

25. Changes to These Terms

We may update these Terms periodically.

The "Last Updated" date will identify the most recent revision.

If a change materially affects users' rights or obligations, we may provide additional notice where required.

Continued use of Octo Pilot after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.

26. Governing Law

These Terms will be governed by and interpreted according to the laws of the State of Georgia, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

Any dispute concerning these Terms or the Service will be handled in an appropriate court with jurisdiction in Georgia unless applicable law provides otherwise.

27. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted by law and the remaining provisions will continue in effect.

28. Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription or service-specific terms, constitute the agreement between you and Octo Pilot concerning use of the Service.
